Share capital for a new subsidiary

The question · Asked in October 2026

“I created a Holding AS in Norway, i put the minimum required 30,000 as its capital, now it is in my bedriftskonto. I am now creating a daughter operating company for it, can I use this 30,000 as the capital of the daughter compnay?”

Summary of the answer

Yes: once Holding AS is registered, its 30,000 kr is the company’s money to use, including to pay the subsidiary’s share capital (aksjeloven §§ 2-18, 3-1). Holding must be the founder, the money must go from its own account to the subsidiary’s, the payment must be confirmed by a bank, lawyer, state-authorised accountant or auditor (§ 2-18), and Holding must keep sound equity and liquidity afterwards (§ 3-4).
